Agreement to These Terms
These Terms of Use (“Terms”) are a contract between you and WinMyBiz Auto LLC (“WinMyBiz Auto,” “we,” “us,” or “our”). They govern your access to and use of the WinMyBiz Auto early-access website, and its pages, forms, content, and communications (collectively, the “Site”). By using the Site or submitting a form, you agree to these Terms. If you do not agree, do not use the Site or submit information.
Eligibility and Geographic Scope
You must be at least 18 years old and legally able to enter into these Terms. The Site is intended for use in the United States. The Site is not offered where its use would violate applicable law.
Early Access Service Only
WinMyBiz Auto is currently in development. A buyer early-access request or seller-interest submission is an expression of interest only. It does not create an account, purchase, lease, financing application, agency relationship, seller agreement, paid enrollment, exclusive relationship, guaranteed pilot place, or obligation for WinMyBiz Auto to launch or provide services. We may select, decline, pause, or discontinue a pilot or Site feature at any time, subject to applicable law.
WinMyBiz Auto Is Not the Vehicle Seller or Lender
The early-access Site does not sell, lease, finance, insure, title, register, inspect, warrant, deliver, or repair vehicles. WinMyBiz Auto is not a vehicle manufacturer, franchised dealer, lender, credit-reporting agency, insurance producer, or government agency. Any future participating dealer, broker, lender, or other provider will be separately responsible for its own products, services, licenses, disclosures, pricing, taxes, fees, warranties, financing decisions, contracts, and legal compliance.
No Offer or Transaction
Site content is general information and product-development material. Vehicle descriptions, images, estimated amounts, incentives, eligibility examples, timelines, and availability may be incomplete, illustrative, or subject to change. Unless WinMyBiz Auto expressly states otherwise in a later written agreement, Site content is not an offer to buy, sell, lease, finance, or deliver a vehicle. You should verify all material terms directly with the responsible licensed seller or provider before acting.
No Financial Legal or Tax Advice
The Site does not provide financial, credit, legal, tax, insurance, or investment advice. Any budget, payment-method, lease, or financing question on a early-access form is for product research and is not a credit application. Do not submit Social Security numbers, driver’s-license numbers, bank information, payment-card information, or credit-report information through the Site or ordinary email.
Your Submissions
You represent that information you submit is accurate to the best of your knowledge, that you have authority to provide it, and that your submission does not violate another person’s rights or law. You remain responsible for your submission. Do not submit confidential dealer, employer, customer, or third-party information that you are not authorized to provide.
You give WinMyBiz Auto a nonexclusive, worldwide, royalty-free license to host, copy, process, and use your submission only as reasonably necessary to operate the early-access Site, review your request, communicate according to your choices, protect the Site, analyze aggregated product research, and comply with law. This license ends when the information is deleted, except for retained backups, consent or suppression records, deidentified information, and records we must keep for legal purposes.
Acceptable Use
You may not:
- Use the Site for unlawful, fraudulent, deceptive, harassing, or harmful activity.
- Impersonate another person or business, falsely claim a license or affiliation, or submit information without authority.
- Probe, scan, disrupt, overload, scrape, reverse engineer, or attempt unauthorized access to the Site or its systems, except to the extent a restriction is prohibited by law.
- Introduce malware or automated traffic, bypass rate limits or security controls, or interfere with another person’s use of the Site.
- Copy, republish, or commercially exploit Site content except as allowed by law or our written permission.
- Use information obtained through the Site to send unsolicited marketing, discriminate, or make credit, insurance, employment, housing, or other eligibility decisions.
Seller Interest
A seller-interest submission does not verify a business, approve it to participate, grant a “Founding Seller” designation, or create a commercial relationship. A business must complete WinMyBiz Auto’s future diligence and sign a separate participation agreement before receiving marketplace access. WinMyBiz Auto may request evidence of licenses, franchise authority, business identity, insurance, privacy and security practices, and other qualifications.
Communications
We may send administrative communications reasonably related to a request you submit. We send marketing or launch updates only when you separately request them, subject to applicable law. You may unsubscribe from marketing email at any time. Agreeing to marketing is not a condition of submitting an early-access or seller-interest request.
Privacy
Our Privacy Policy explains how we handle personal information. The Privacy Policy is incorporated into these Terms for notice purposes, but an acknowledgment of the Privacy Policy is not consent to practices that require separate consent.
Ownership
The Site, including its design, text, graphics, software, trademarks, and other content, is owned by WinMyBiz Auto or its licensors and is protected by applicable law. These Terms give you a limited, revocable, nonexclusive, nontransferable right to use the Site for its intended purpose. No other rights are granted.
Feedback
If you voluntarily provide product ideas or feedback, you grant WinMyBiz Auto a perpetual, irrevocable, worldwide, royalty-free right to use and incorporate that feedback without restriction or compensation. This clause does not transfer ownership of your personal information or confidential material that WinMyBiz Auto separately agrees in writing to protect.
Third Party Services and Links
The Site may link to or rely on third-party services. WinMyBiz Auto does not control and is not responsible for third-party content, availability, security, or privacy practices. A link does not imply endorsement. Your use of a third-party service is governed by that party’s terms and privacy notice.
Site Changes, Suspension and Termination
We may modify, suspend, restrict, or discontinue all or part of the Site. We may block or remove a submission or access when reasonably necessary to protect the Site, users, third parties, or WinMyBiz Auto; investigate misuse; or comply with law. Where practicable and appropriate, we may provide notice.
Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WINMYBIZ AUTO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND SECURITY. WINMYBIZ AUTO DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT A PILOT OR MARKETPLACE WILL LAUNCH, OR THAT ANY BUYER, SELLER, VEHICLE, PRICE, INCENTIVE, FINANCING OPTION, OR TRANSACTION WILL BE AVAILABLE OR SUITABLE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THIS SECTION MAY NOT APPLY TO YOU.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WINMYBIZ AUTO AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEIR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE EARLY-ACCESS SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID WINMYBIZ AUTO FOR USE OF THE EARLY-ACCESS SITE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THIS LIMIT DOES NOT APPLY WHERE LAW PROHIBITS IT.
Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless WinMyBiz Auto and its owners, officers, employees, contractors, and agents from third-party claims, damages, losses, and reasonable costs arising from your unlawful use of the Site, your material violation of these Terms, or content you submit without authorization. This obligation does not apply to the extent a claim results from WinMyBiz Auto’s own unlawful conduct.
Governing Law and Disputes
These Terms are governed by the laws of Oregon, without regard to conflict-of-laws rules, except that mandatory consumer protections of your home jurisdiction may still apply. Subject to any required small-claims or consumer rights, the state and federal courts located in Portland, Oregon will have exclusive jurisdiction.
General Terms
These Terms and the Privacy Policy are the entire agreement for the early-access Site and replace prior statements about that subject. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will continue. Our failure to enforce a provision is not a waiver. You may not transfer these Terms without our written permission; we may transfer them in connection with a reorganization, financing, or sale of the business. Headings are for convenience only.
Changes to These Terms
We may update these Terms by posting a revised version and changing the “Last updated” date. Changes apply prospectively when posted unless law requires additional notice or consent. If you do not agree to revised Terms, stop using the Site.
